On September 19, 2013, Bio-Rad Laboratories, Inc. (the “Company”) provided irrevocable notice to the holders of its 8.00% Senior Subordinated Notes due 2016 (the “Notes”) of the redemption of all Notes remaining outstanding as of September 30, 2013, up to an aggregate principal amount of $300,000,000, at a total redemption price of 104.00% of the aggregate principal amount outstanding thereof, plus accrued and unpaid interest to but not including the redemption date. The total estimated one-time expense to redeem the Notes is approximately $17 million. The redemption date will be September 30, 2013.
