Item 7.01 Regulation FD Disclosure.
On September 4, 2013, The University of Phoenix, Inc., a wholly–owned subsidiary of Apollo Group, Inc., issued a press release announcing the retirement of Bill Pepicello, Ph.D. as president of the University. A copy of the press release is furnished as Exhibit 99.1 to this Form 8–K.
