Section 5 — Corporate Governance and Management

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

As previously described in VWR Funding, Inc.’s (the “Company”) Form 8-K filed with the Securities and Exchange Commission on June 6, 2013, Douglas Pitts became the Company’s Vice President and Corporate Controller and the Company’s principal accounting officer effective June 28, 2013. On July 31, 2013, Mr. Pitts entered into a new employment arrangement with the Company pursuant to which his annual base salary was increased by $24,308, his target cash bonus opportunity was increased to 70% of his annualized base salary and he otherwise became eligible to participate in compensation and benefit programs that are available to the Company’s executive officers generally.
