Item 1.01. Entry into a Material Definitive Agreement.
CRI Hotel Income Partners, L.P., a Delaware limited partnership (“Registrant), as Seller, entered into a Purchase and Sale Agreement dated as of July 29, 2013 (the “Purchase and Sale Agreement”) with Roseville Lodging LLC, a Minnesota limited liability company, as Purchaser, for the sale of the real and personal property operated as the Roseville Days Inn located at 2550 North Cleveland Avenue, Roseville, MN 55113 (the "Property") for a sale price of Three Million Five Hundred Fifty Thousand Dollars ($3,550,000).
The sale of the Property is expected to occur on or before September 4, 2013, subject to certain extension rights. There is no assurance that the Purchaser will be able to purchase the Property on the terms set forth in the Purchase and Sale Agreement or at all. Closing of the purchase and sale is subject to customary conditions.
The foregoing description of the Purchase and Sale Agreement and the transactions contemplated thereby does not purport to be complete and is subject to, and qualified in its entirety by the full text of the Purchase and Sale Agreement which is attached hereto as Exhibit 10.1 and incorporated by reference herein.
