Item 7.01. Regulation FD Disclosure
The Board of Directors of Tallgrass MLP GP, LLC (the “Board”), the general partner of Tallgrass Energy Partners, LP (the “Partnership”), declared a cash distribution for the quarter ended June 30, 2013 of $0.1422 per common unit, or $1.15 on an annualized basis. The distribution represents a prorated amount of the Partnership’s minimum quarterly distribution of $0.2875 per common unit, based upon the number of days between the closing of the Partnership’s initial public offering on May 17, 2013 and the end of the second quarter. The distribution will be paid on August 13, 2013, to unitholders of record on July 31, 2013. A copy of the press release dated July 18, 2013 announcing the cash distribution is furnished with this Current Report on Form 8-K.
In accordance with General Instruction B.2 to Form 8-K, the information provided under this Item 7.01 and the information attached to this Form 8-K as Exhibit 99.1 shall be deemed to be “furnished” and shall not be deemed to be “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities of that section, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933, as amended, or the Exchange Act except as expressly set forth by specific reference in such filing.
