Item 8.01 Other Events.

On June 21, 2013, Home Loan Servicing Solutions, Ltd. allocated its proposed $350 million Senior Secured Term Loan facility. The loan is expected to carry an interest rate of LIBOR plus 3.50%, with a 1.00% LIBOR floor, and is expected to be issued at 98.50% of the face amount. The Senior Secured Term Loan facility is expected to close on or around June 27, 2013.

The terms and conditions of the Senior Secured Term Loan facility have not been finalized and are subject to entering into definitive documentation. There can be no assurance that the Senior Secured Term Loan facility will be entered into as anticipated and with terms favorable to us or at all.
