Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On June 11, 2013, Ronald M. Lindsay, our Executive Vice President, Strategic Planning, informed us that he intends to transition to part-time employment with the Company, effective August 1, 2013. The Company and Dr. Lindsay currently expect that he will reduce his time commitment by fifty percent. As a part-time employee, Dr. Lindsay will receive a pro-rated portion of his $358,000 base salary. No other changes to Dr. Lindsay’s employment status or compensation arrangement are being made in connection with his transition to part-time employment.
