Item 8.01 Other Events.
On October 18, 2012, the Registrant issued a news release announcing it received an unsolicited letter from The Indian Hotels Company Limited and certain other members of the Tata group of companies dated October 18, 2012 with an unsolicited proposal by those parties and a fund controlled by Montezemolo & Partners to acquire all of the outstanding shares of the Registrant. A copy of the news release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
