Item 7.01. Regulation FD Disclosure.

Members of the management team of Health Net, Inc. (the “Company”) expect to meet with investors and analysts on September 27 and 28, 2012. Some of these meetings will take place at the 3rd Annual Sanford C. Bernstein Healthcare Reform Conference (the “Conference”) on September 28, 2012, where members of the Company’s management team will also be giving a presentation at approximately 8:45 a.m. (Eastern time) and participating in a panel discussion at approximately 12:15 p.m. (Eastern time). During these meetings, the Company intends to address its prospects and historical performance. Since the Company is currently in its quiet period prior to its release of earnings results for the third quarter of 2012, the Company’s management team will not be discussing the Company’s earnings guidance or third quarter financial performance at these meetings or at the Conference.
