Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On August 31, 2012, Linda Lupini, the Company’s Senior Vice President, Human Resources and Organizational Development, entered into an addendum to severance letter with the Company which, among other things, changed her termination date from August 31, 2012 to December 14, 2012. In connection with this change in termination date, Ms. Lupini will be entitled to receive additional severance amounts for the additional period she is working for the Company consistent with her Change of Control Agreement dated June 1, 2006.
A copy of the addendum is filed as Exhibit 10.63 hereto and is incorporated herein by reference. The description of the addendum included in this Item 5.02 is not complete and is qualified in its entirety by reference to the full text of the addendum set forth on Exhibit 10.63.
