Apollo Group, Inc. subsidiary, University of Phoenix, has received an Expedited Final Program Review Determination Letter from the U.S. Department of Education in respect of the Department’s July 2012 review of the University’s financial aid programs subject to Title IV of the Higher Education Act for the 2010-2011 award year and 2011-2012 award year to date. There were no findings in the program review.
A copy of the Department’s Expedited Final Program Review Determination Letter is furnished as Exhibit 99.1 to this Form 8-K.
The information in Item 8.01 of this Form 8-K and Exhibit 99.1 furnished herewith shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities under that section, nor shall they be deemed incorporated by reference in any filing under the Securities Act of 1933, as amended, or the Exchange Act, regardless of any general incorporation language in any such filing.
