Allied Nevada Announces Senior Note Offering for Effective Principal Amount of US$400.4 Million and an Effective Interest Rate of 8.375% per Annum

May 16, 2012 | Reno, Nevada - Allied Nevada Gold Corp. (“Allied Nevada” or the “Company”) (TSX: ANV; NYSE-Amex: ANV) announced today an offering of 8.75% senior unsecured notes due 2019 in an aggregate principal amount of C$400 million (the “Notes”). In connection with the offering, the Company will enter into a cross currency interest rate swap and thereby the notes will have an effective principal amount of US$400.4 million and an effective interest rate of 8.375% per annum.

Allied Nevada intends to use the net proceeds from the offering of the Notes to fund the expansion of its Hycroft Mine. Closing of the offering of the Notes is expected to occur on or about May 25, 2012.

The notes are proposed to be offered in the United States only to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “U.S. Securities Act”) , and outside the United States pursuant to Regulation S under the Securities Act. The Notes will be offered and sold in Canada on a private placement basis pursuant to available prospectus exemptions.
