Item 7.01 Regulation FD Disclosure.

On April 30, 2012, Libbey Inc. (the “Company”) issued a press release announcing that its wholly-owned subsidiary, Libbey Glass Inc. (“Libbey Glass”), commenced a tender offer and consent solicitation for up to $320.0 million of its outstanding $360.0 million aggregate principal amount of 10% Senior Secured Notes due 2015 (the “Notes”). The tender offer is contingent upon the satisfaction of certain conditions including (a) the receipt of net proceeds from a new debt financing on terms and conditions satisfactory to the Company, (b) amendments to the existing amended and restated credit agreement, dated February 8, 2010, (c) the receipt of requisite consents in order to adopt certain proposed amendments to the indenture governing the Notes and (d) other customary conditions as set forth in the Offer to Purchase and Consent Solicitation Statement. A copy of the Company's press release is furnished pursuant to Item 7.01 as Exhibit 99.1 to this Current Report on Form 8-K.
