Item 2.02                                             Results of Operations and Financial Condition.

 

On April 18, 2012, Cardinal Financial Corporation (“the Company”) issued a press release reporting its financial results for the period ended March 31, 2012.  A copy of the press release is being furnished as an exhibit to this report and is incorporated by reference into this Item 2.02.

 

Item 5.07                                             Submission of Matters to a Vote of Security Holders.

 

The Company held its Annual Meeting of Shareholders on April 20, 2012 (the “Annual Meeting”).  At the Annual Meeting, the shareholders of the Company elected one director to serve a term of one year and three directors to serve for three-year terms each, approved the non-binding resolution to endorse the Company’s executive compensation program, and ratified the Company’s appointment of KPMG LLP as the Company’s independent auditors for 2012.  The voting results for each proposal are as follows:

Item 8.01                                             Other Events.

 

On April 18, 2012, the Company’s Board of Directors declared a cash dividend of $0.04 for each share of its common stock outstanding. The dividend is payable on May 17, 2012 to shareholders of record on May 1, 2012. Based on the current number of shares outstanding, the aggregate payment will be approximately $1,168,000.
