Item 8.01 Other Events.
On March 15, 2012, JDA Software Group, Inc. (the “Company”) issued a press release announcing that the filing of its Annual Report on Form 10-K for the year ended December 31, 2011 with the U.S. Securities and Exchange Commission (the “SEC”) will be delayed beyond the March 15, 2012 extended due date. A copy of the press release issued by the Company is attached hereto as Exhibit 99.1and is incorporated herein by reference.
