On January 24, 2012, the Board of Directors of Tower Bancorp, Inc. (Tower) and the Employee Development Committee of the Board of Directors of Tower met and, in accordance with the terms of Towers 2011 CEO Incentive Plan, 2011 Presidents Incentive Plan and 2011 Executive Incentive Plan (collectively, the Incentive Plans) and Section 7.19 of the Agreement and Plan of Merger dated June 20, 2011 between Susquehanna Bancshares, Inc. (Susquehanna) and Tower, approved the following cash awards to each of the named executive officers of Tower under the Incentive Plan in which he or she participates:
