Item 3.02   Unregistered Sales of Equity Securities.
 
On January 10, 2012, we granted stock options to acquire an aggregate of up to 10,500,000 options to purchase our common stock to certain of our officers and employees.  The options are exercisable at $0.027 per option share for a period of 5 to 10 years from the date of grant.  The options are subject to the following vesting provisions:
 
(a)           50% of the options shall vest immediately;
 
(b)           25% of the options shall vest on the first anniversary of the date of grant; and
 
(c)           25% of the options shall vest on the second anniversary of the date of grant.
 
We granted the securities to five U.S. persons (as that term is defined in Regulation S of the Securities Act of 1933)  relying on Section 4(2) of the Securities Act of 1933 and/or Rule 506 promulgated pursuant to the Securities Act of 1933.
