Item 5.02.  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 29, 2011, the Board of Directors (the “Board”) of Schiff Nutrition International, Inc. (the “Company”) appointed Brian T. Swette as a director of the Company to hold office until his successor is qualified and elected or until his earlier death, resignation or removal.

Mr. Swette will receive compensation for his service on the Board in a manner consistent with that of the Company’s other non-employee directors, as described in the Company’s definitive proxy statement filed with the Securities and Exchange Commission on September 26, 2011.  The Company will also enter into the Company’s standard form of indemnification agreement with Mr. Swette.  Pursuant to the agreement, Mr. Swette will be entitled to indemnification and advancement of litigation and other expenses to the fullest extent permitted by law for claims relating to his service to the Company or its subsidiaries, subject to the terms and conditions contained in the agreement.

On November 29, 2011, the Company issued a press release announcing the appointment of Mr. Swette, which is attached hereto as Exhibit 99.1 and incorporated herein by reference.
