Results of Operations and Financial Condition.

On November 11, 2011, China Marine Food Group Limited (“Company”) held a Third Quarter 2011 Earnings Conference Call (“Conference Call”) that was broadly available to the public by telephone to discuss the results of operation and financial condition through September 30, 2011. A copy of the transcript of the Conference Call is furnished as Exhibit 99.1 to this report.
