Item 8.01 Other Events.

On October 20, 2011, Telik, Inc. (“Telik”) received from The Nasdaq Capital Market (“Nasdaq”) a notice indicating that Nasdaq has determined that Telik is eligible for an additional 180 calendar day period, or until April 16, 2012, to regain compliance with the minimum $1.00 per share bid price requirement.
