Item 1.01   Entry into a Material Agreement.
On September 12, 2011, at the request of Amscan Holdings, Inc. (the “Company”), Wells Fargo Bank, National Association (“Wells Fargo”) agreed to increase its commitment by $25,000,000 under that certain ABL credit agreement, dated as of August 13, 2010, among the Company, Party City Holdings Inc., certain subsidiaries of the Company, Wells Fargo, and the lenders party thereto (as amended on December 2, 2010 and as further amended on September 8, 2011, the “ABL Credit Agreement”). In addition to such increase in commitments, on September 8, 2011, the Company entered into a second amendment (the “Amendment”) to the ABL Credit Agreement. The foregoing description of the material terms of the Amendment does not purport to be a complete description of the Amendment and is qualified by its entirety by reference to the full text of the Amendment, which is filed as Exhibit 10.1 to this report.
