Item 2.02. Results of Operations and Financial Condition.
On July 29, 2011, Cobra Electronics Corporation (the “Company”) released earnings information for the quarter ended June 30, 2011. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
Item 8.01. Other Events.
On July 24, 2011, Robert P. Rohleder, who served as a Class II director of the Company, Chair of the Audit Committee and a member of the Compensation Committee, died. William P. Carmichael has been named as the Chair of the Audit Committee, John S. Lupo has been named as a member of the Audit Committee and S. Sam Park has been named as a member of the Compensation Committee, in each case to replace Mr. Rohleder.
