Item 7.01. Other Events.
On June 29, 2011, Ashford Hospitality Trust, Inc. (the “Company”) announced that it priced
7,000,000 shares of Common Stock at $12.50 per share, the closing of which is expected on July 5,
2011. The Company expects to use the net proceeds from the offering to repay its
outstanding borrowings under its senior credit facility, for general corporate purposes, including,
without limitation, financing future hotel-related investments, capital expenditures and working
capital or repayment of other debt or obligations.
The press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
