ITEM 5.07 Submission of Matters to a Vote of Security Holders.
On June 17, 2011, DRI Corporation (the “Company”) held its 2011 Annual Meeting of Shareholders (the “Annual Meeting”) to (1) elect seven directors to serve until the Annual Meeting of Shareholders in 2012; (2) ratify the selection of independent auditors for fiscal year 2011; and (3) transact such other business as may be properly brought before the Annual Meeting of Shareholders and any adjournment or postponement thereof.
As of the Record Date of April 28, 2011, the Company had:
11,882,091 shares of Common Stock outstanding, and the holders of which became entitled to cast a combined total of 11,882,091 votes at the Annual Meeting; and

1,051 shares of Preferred Stock outstanding, and the holders of which became entitled to cast a combined total of 2,638,770 votes at the Annual Meeting.
The holders of all Common Stock and all Preferred Stock outstanding as of the Record Date are holders of the Company’s Voting Stock (“Voting Stock”). Thus, the combined total of votes entitled to be cast at the Annual Meeting by holders of Voting Stock was 14,520,861.
