Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
(a) Effective as of June 17, 2011, the bylaws of Denbury Resources Inc. (the “Company”) were
amended and restated to add to Section 3.3 the requirement that at least two-thirds of the
directors shall be independent under the rules of the New York Stock Exchange.
