ITEM 1.01
ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT

On April 20, 2011, we entered into an agreement with Kopere Limited, a Hong Kong corporation, wherein we agreed to purchase certain personal property related to our business in consideration of $40,000.00.  Closing will occur no later than 30 days from April 20, 2011.
