Item 8.01
Other Events.
On May 3, 2010, we issued a press
release announcing that Oak Hill Capital Partners (“Oak Hill Capital”), a
leading private equity firm, had entered into a definitive agreement to acquire
the outstanding stock of our parent corporation, Dave & Buster’s Holdings,
Inc. (“Holdings”), from Wellspring Capital Management, LLC and the other equity
holders of Holdings. Oak Hill Capital is investing in partnership
with Dave & Buster’s current management team. The aggregate value
of the transaction is approximately $570 million. A copy of the press
release is filed as Exhibit 99.1 to this report on Form 8-K.
