Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year
On January 27, 2010, at a meeting of the Board of Directors (the Board) of The Charles Schwab Corporation, the Board approved amendments to Sections 2.03, 2.04, 2.05, and 2.08 of the Fourth Restated Bylaws to permit meetings of stockholders by means of remote communication.
