Graham Packaging Holdings Company (the Company) is filing this Current Report on Form 8-K to update financial statements included in the Companys previously filed Annual Report on Form 10-K for the year ended December 31, 2008 (2008 10-K) to describe the Companys contemplated initial public offering, to describe the calculation of the Companys earnings per unit, to update the status of a previously pending transaction with Hicks Acquisition Company I, Inc. and to present the restated consolidated statements of operations and related notes to the consolidated financial statements to reflect the discontinued operations of a subsidiary to be disposed of. More detailed descriptions of these updates are set forth on Exhibit 99.1 hereto.
Except as provided above, all other information in the Companys 2008 10-K has not been updated for events or developments that occurred subsequent to its filing with the U.S. Securities and Exchange Commission. For developments since the filing of the 2008 10-K, please refer to the Companys Quarterly Reports on Form 10-Q for the three months ended March 31, 2009, the six months ended June 30, 2009 and the nine months ended September 30, 2009 and the Companys Current Reports on Form 8-K filed since the filing of the 2008 10-K.
