Sinclair Announces Proposed Private Offering of Senior Secured Second Lien Notes
 

BALTIMORE (October 13, 2009) — Sinclair Broadcast Group, Inc. (the “Company”) (Nasdaq: SBGI) announced today that its wholly-owned subsidiary, Sinclair Television Group, Inc. (“STG”) intends to offer, subject to market conditions and other factors, approximately $430.0 million aggregate principal amount of Senior Secured Second Lien Notes (the “Second Lien Notes”) due 2017.

 

The Second Lien Notes would be guaranteed by the Company and certain of the Company’s subsidiaries, and be secured by a second lien on the assets securing the loans under STG’s senior secured bank credit facility (the “Bank Credit Facility”).

 

In addition to customary closing conditions, this private placement of Second Lien Notes would be conditioned on obtaining an amendment and restatement to the Bank Credit Facility to permit this transaction.

 

The proceeds from the private offering of Second Lien Notes will be used, together with available cash on hand and/or revolving debt, to fund STG’s cash tenders for the Company’s 3% Senior Convertible Notes due 2027 and 4.875% Senior Convertible Notes due 2018, pursuant to the Offer to Purchase, dated October 8, 2009 (the “Offer to Purchase”), previously filed with the Securities and Exchange Commission.  The tender offers expire at 12:00 midnight, New York City time on Thursday, November 5, 2009 unless extended or earlier terminated by STG.

 

This press release shall not constitute an offer to sell or the solicitation of an offer to buy the Second Lien Notes, nor shall there be any offer or sale of the Second Lien Notes in any state or jurisdiction in which such offer, solicitation or sale would be unlawful.

 

The Second Lien Notes, when, and if, offered will not be registered under the Securities Act of 1933 or any state securities laws and may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements.

 

The tender offers described in this press release are neither an offer to purchase nor a solicitation of an offer to sell any Convertible Notes.  Any solicitation and offer to buy Convertible Notes will only be made pursuant to the Offer to Purchase and related materials.
