Item 8.01 Other Matters.

Dividend Status. The Company has completed the engagement of a new stock transfer agent and payment agent for dividend distributions to holders of Company Common Stock. The Company has submitted (as of the event date on the cover page of this Current Report on Form 8-K) the required corporate action notice for the cash dividend announced for shareholders of record (as of April 16, 2021) to Financial Industry Regulatory Authority (“FINRA”) and will announce a payment date for the dividend upon and subject to completion of the processing of the notice by FINRA.
