Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

 

On July 6, 2021, Alussa Energy Acquisition Corp. (“Alussa”), in connection with its proposed business combination (the “Business Combination”) with FREYR AS and acting pursuant to authorization from its Board of Directors, determined (i) to voluntary withdraw the listing of Alussa’s ordinary shares, warrants and units from the New York Stock Exchange (the “NYSE”) and (ii) to list the ordinary shares and warrants of FREYR Battery, the post-Business Combination company, on the NYSE, in each case subject to the completion of the Business Combination. The last day of trading on the NYSE was July 7. Trading of the ordinary shares and warrants of FREYR Battery began on NYSE on July 8, 2021 under the ticker symbols “FREY” and “FREYR WS”, respectively.
