Item 8.01.

Other Events.

On July 7, 2021, Contango Resources, Inc., a wholly-owned subsidiary of Contango Oil & Gas Company (the “Company”), entered into a purchase and sale agreement with Burlington Resources Oil & Gas Company LP, Burlington Resources Trading LLC, ConocoPhillips Company, Inexco Oil Company, and The Louisiana Land and Exploration Company LLC to acquire certain assets located in the Wind River Basin of Wyoming. On July 8, 2021, the Company issued a press release announcing the pending acquisition, a copy of which is attached hereto as Exhibit 99.1 and is incorporated by reference into this Item 8.01.
