Item 1.02Termination of a Material Definitive Agreement.

 

On June 30, 2021, the Employment Contract (the “Contract”) dated April 1, 2021 between IIOT-OXYS, Inc., a Nevada corporation (the “Company”), and Chandran Seshagiri terminated by its terms. Effective July 1, 2021, Mr. Seshagiri no longer serves as Interim Chief Technology Officer. For completion of the term of the Contract, Mr. Seshagiri was issued 150,000 shares of the Company’s Common Stock (the “Shares”).

 

Item 3.02 Unregistered Sales of Equity Securities.

 

The disclosure contained in Items 1.02 is incorporated into this Item 3.02.

 

Mr. Seshagiri delivered appropriate investment representations with respect to the Shares and consented to the imposition of a restrictive legend upon the stock certificate representing the Shares. Mr. Seshagiri did not enter into his transaction with the Company as a result of or subsequent to any advertisement, article, notice, or other communication published in any newspaper, magazine, or similar media or broadcast on television or radio, or presented at any seminar or meeting. Mr. Seshagiri was also afforded the opportunity to ask questions of management and to receive answers concerning the terms and conditions of the transaction. The Shares were issued without registration under the Securities Act of 1933, as amended, by reason of the exemption from registration afforded by the provisions of Section 4(a)(2) thereof, and Rule 506(b) promulgated thereunder, as a transaction by an issuer not involving any public offering. No selling commissions were paid in connection with the issuance of the Shares.

Item 8.01 Other Events.

 

On July 7, 2021, the Company issued a press release which announced the completion of Mr. Seshagiri’s term as Interim CTO.
