Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On May 17, 2021, the issuer filed a Certificate of Amendment to its Articles of Incorporation (the “Amendment”) with the Secretary of State of the State of Nevada to change the issuer’s name from “Banner Energy Services Corp.” to “Fortium Holdings Corp.” The Amendment became effective upon filing.
The foregoing description of the Amendment is a summary only and is qualified in its entirety by the full text of the Amendment, which is filed as Exhibit 3.1 hereto and is incorporated herein by reference.
