The information contained in Item 8.01 regarding the License Agreement (as therein defined) is hereby incorporated by reference in this Item 1.02, as applicable.

 

Item 8.01. Other Events.

 

After filing an arbitration against Canopy Growth Corporation (“Canopy”) with respect to the license agreement between the parties (the “License Agreement”), Cure Pharmaceutical Holding Corporation (the “Company”) entered into an agreement resolving the dispute between the parties, pursuant to which neither party admitted liability, the parties released their respective claims and obligations, and Canopy agreed to pay a total of $3,950,000, of which $2,330,000 will be paid to the Company within 15 calendar days, and the balance of $1,620,000 will be paid to the Foundation Law Group LLP trust account within 45 calendar days.
