Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

 

On April 16, 2021, the Board of Directors of China Jo-Jo Drugstores, Inc., a Nevada corporation, approved the Amendment No. 2 to the Company’s Bylaws (the “Amendment No. 2”) to elect not to be governed by the provisions of sections 78.411 to 78.444, inclusive, of the Nevada Revised Statutes regarding combinations with interested shareholders. The preceding summary is qualified in its entirety by reference to the Amendment No. 2, which is attached hereto as Exhibit 3.1 and is incorporated herein by reference.
