Item 8.01 Other Events
As reported by Energy and Water Development Corp. (the “Company”) in its Form 12b-25 Notification of Late Filing with the Securities and Exchange Commission (“SEC”) on March 26, 2021 (the “Form 12b-25”), the Company was unable to file its Form 10-K for the period ended December 31, 2020 (the “December 31, 2020 Form 10-K”) within the prescribed time period. The extension period provided under Rule 12b-25 expired on April 15, 2021 and the Company was unable to timely file its December 31, 2020 Form 10-K within the extended time period for the reasons stated below.
MaloneBailey, LLP (“MaloneBailey”), the Company’s independent registered public accounting firm, informed the Company on April 15, 2021, that it had not yet completed its audit report.
The Company continues to work diligently to assist MaloneBailey in obtaining the information it requires and will file its December 31, 2020 Form 10-K as soon as it receives a final audit report and consent.
