Item 8.01 Other Events.

 

On September 9, 2020, Digital Ally, Inc. (the “Company”), filed a Current Report on Form 8-K (the “September 9th Form 8-K”) reporting the results of voting on the proposals submitted to the Company’s stockholders at its Annual Meeting of Stockholders held on September 9, 2020 (the “Annual Meeting”). At the Annual Meeting, the Company’s stockholders approved an amendment to the Company’s Articles of Incorporation to increase the number of shares of authorized common stock, par value $0.001 per share (“Common Stock”) from 50,000,000 shares of Common Stock to 100,000,000 shares of Common Stock, which approval was reported in the September 9th Form 8-K. The Company filed a Certificate of Amendment to its Articles of Incorporation on September 25, 2020, with the Nevada Secretary of State, but a copy of the Certificate of Amendment was inadvertently not filed on the SEC’s Edgar filing system. A copy of the Certificate of Amendment is attached as Exhibit 3.1 to this Current Report on Form 8-K.
