ITEM 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On March 31, 2021, Paul R. Hogan, the Secretary and General Counsel of Kingsway Financial Services Inc. (the “Company”), resigned.

 

Under the terms of an Employment Separation Agreement and Release (the “Separation Agreement”), dated March 31, 2021, between Kingsway America, Inc., a subsidiary of the Company, and Mr. Hogan, Mr. Hogan has agreed to help transition his duties and responsibilities for a six-month period ending on September 30, 2021 (the “Transition Period”). During the Transition Period, Mr. Hogan will be entitled to continuation of his base salary (in an aggregate amount of $120,000). The Separation Agreement also provides for a customary release of claims and mutual non-disparagement obligations.
