Item 1.01

Entry into a Material Definitive Agreement.

On March 26, 2021, Khosla Ventures Acquisition Co. (the “Company”) entered into a Voting Agreement (the “Voting Agreement”) with Khosla Ventures SPAC Sponsor LLC (the “Sponsor”). The Voting Agreement requires, among other things, that Sponsor will not vote its shares of Class B common stock of the Company prior to the business combination to remove any director of the Company, unless such removal is approved by a majority of the board of directors of the Company. The Voting Agreement will terminate upon the consummation of the initial business combination of the Company.

The foregoing description of the Voting Agreement does not purport to be complete and is qualified in its entirety by reference to the Voting Agreement, which is attached to this Current Report as Exhibit 10.1 and incorporated by reference herein.
