When used in this Current Report on Form 8-K, unless otherwise indicated, the terms “the Company,” “Celsius,” “we,” “us” and “our” refer to Celsius Holdings, Inc. and its subsidiaries.

 

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On February 4, 2021, following the recommendation of the Company’s compensation committee, our Board of Directors approved an increase in the base salary of (a) John Fieldly, our President and CEO, from $464,500 to $500,000, and (b) Edwin Negron-Carballo, our Chief Financial Officer, from $270,000 to $300,000. The aforementioned salary increases are effective retroactively to January 1, 2021. In addition, Mr. Fieldly is eligible for an annual bonus amount of up to fifty percent (50%) of his base salary and Mr. Negron-Carballo is eligible for an annual bonus amount of up to forty percent (40%) of his base salary. Further, the Company agreed to provide Mr. Fieldly with a personal life insurance policy with a coverage amount of $5 million.
