Recent Developments

 

Certain Preliminary Financial Results

 

In connection with a proposed registered offering of common stock, VolitionRx Limited (the “Company”) has announced that it expects to report that it had approximately $19.4 million in cash and cash equivalents as of December 31, 2020 and has additionally raised approximately $1.2 million during January 2021 under its “at the market” offering program pursuant to the Company’s effective “shelf” registration statement on Form S-3 (File No. 333-227248).

 

These amounts comprise forward-looking statements based on preliminary unaudited information and management estimates for the year ended December 31, 2020 and month ended January 31, 2021, and are not a comprehensive statement of the Company’s financial results for these periods, and are subject to change pending completion of the Company’s financial closing procedures, final adjustments, completion of the audit of the Company’s financial statements and other developments that may arise between now and the time such audit is completed. Additional information and disclosures would be required for a more complete understanding of the Company’s financial position and results of operations as of December 31, 2020. The Company’s independent registered public accounting firm has not conducted an audit or review of, and does not express an opinion or any other form of assurance with respect to, these preliminary estimates.
