Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

 

On February 1, 2021, the Board of Directors (the “Board”) of Cerberus Cyber Sentinel Corporation (the “Company”) appointed Sandra Morgan, 42, as a director to the Board to serve immediately.

 

Ms. Morgan, 42, has served as Chairwoman of the Nevada Gaming Control Board from January 2019 to November 2020 and as Commissioner of the Nevada Gaming Commission from May 2018 to Jan 2019. She also served as Director of External Affairs at AT&T from January 2016 to January 2018. Ms. Morgan also currently serves on the Board of Directors at Fidelity National Financial and holds a Juris Doctor, Law from UNLV. Ms. Morgan is qualified for service as a director of the Company due to her experience with regulatory and compliance issues.

 

In connection with Ms. Morgan’s election to the Board, the Board granted 200,000 shares of the Company’s common stock to Ms. Morgan.

 

There are no arrangements or understandings between Ms. Morgan and any other person pursuant to which Ms. Morgan was appointed as a director. There are no transactions to which the Company is a party and in which Ms. Morgan has a material interest that are required to be disclosed under Item 404(a) of Regulation S-K. Ms. Morgan has not previously held any positions with the Company and has no family relations with any directors or executive officers of the Company.
