Item 1.01. Entry into a Material Definitive Agreement.

On February 2, 2021, Brookline Capital Acquisition Corp. (the “Company”) consummated its initial public offering (the “IPO”) of 5,750,000 units (the “Units”), including the exercise in full of the underwriters’ 45-day option to purchase up to an additional 750,000 units. Each Unit consists of one share of common stock of the Company, par value $0.0001 per share (“Common Stock”), and one half of one redeemable warrant of the Company (“Warrant”), with each whole Warrant entitling the holder thereof to purchase one share of Common Stock for $11.50 per share. In connection with the IPO, the Company entered into the following agreements, forms of which were previously filed as exhibits to the Company’s Registration Statement on Form S-1 (File No. 333-246287) related to the IPO, originally filed with the U.S. Securities and Exchange Commission (the “Commission”) on August 14, 2020 (as amended, the “Registration Statement”):
