Item 5.02Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(d) On December 16, 2020, the Board of Directors of Lake Shore Bancorp, Inc. (the “Company”) filed a Current Report on Form 8-K disclosing that it had appointed Catharine M. Young to the Company’s Board of Directors effective January 1, 2021. The Board of Directors of Lake Shore, MHC (the Company’s majority stockholder) and Lake Shore Savings Bank also appointed Ms. Young to their respective boards. At the time of the report, the Company’s Board had not yet determined which committee Ms. Young would serve as a member. On January 27, 2021, the Company’s Board of Directors appointed director Catharine M. Young to the Nominating and Governance Committee, effective immediately.
