Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On December 30, 2020, Lesley Goldwasser was appointed to the Company’s board of directors (the “Board”). Ms. Goldwasser was determined by the Board to be independent under the rules and regulations of the Nasdaq Stock Market and the Securities and Exchange Commission.

 

Ms. Goldwasser, age 59, has been a Managing Partner of GreensLedge Capital Markets LLC (“GreensLedge”) since September 2013. Prior to joining GreensLedge, she was associated with Credit Suisse Group AG (“Credit Suisse”) as a Managing Director from September 2010 to November 2013, where she had global responsibility for the Hedge Fund Strategic Services unit. Before Credit Suisse, Ms. Goldwasser spent 12 years at Bear Stearns where she was co-head of Global Debt and Equity Capital Markets units and had global responsibility for structured products. Prior to her tenure at Bear Stearns, Ms. Goldwasser spent 12 years at Credit Suisse in a variety of management positions, including responsibility for both the Asset Backed and Non-Agency Mortgage Trading Desks.  Ms. Goldwasser has been a member of the board of directors of TipTree Inc. (Nasdaq: TIPT), a financial services company, since January 2015.

 

There are no family relationships between Ms. Goldwasser and any of the Company’s directors or executive officers. There are no related party transactions involving Ms. Eisenhart that are reportable under Item 404(a) of Regulation S-K. Like other non-employee directors of the Company, Ms. Goldwasser has been allocated 25,000 Class B common shares of the Company by FinTech Masala Advisors V, LLC.
