Item 1.01 Entry into a Material Definitive Agreement

 

Consulting Agreement with Atlanta Capital Partners, LLC (“ACP”)

 

On December 15, 2020, we completed an agreement with ACP to provide financial advisory, strategic business planning, and corporate communication services in return for our payment to ACP of $6,250 and 90,000 restricted common stock shares. The term of the agreement is 3 months.

 

Consulting Agreement with Robert Sullivan

 

On December 16, 2020, we completed an agreement with Robert Sullivan to provide broadcast, communication, and consulting services pertaining to the Company in return for $8,000 upon execution of the agreement, $6,000 monthly for 6 months, and 2,750,000 restricted common stock shares valued at six cents per share. The term of the agreement is 6 months.
