Item 1.01 Entry Into a Material Definitive Agreement.

The information discussed under Item 2.03 of this Current Report on Form 8-K is incorporated by reference into this Item 1.01.

Item 2.03 Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.

On November 13, 2020, Hines Global REIT II Properties, L.P. (the “Operating Partnership”), a majority-owned subsidiary of Hines Global Income Trust, Inc. (“Hines Global” and, together with its subsidiaries, the “Company”), entered into an amendment (the “Amendment”) to the Amended and Restated Credit Agreement (the “Credit Agreement”), dated as of November 15, 2019, with JPMorgan Chase Bank, N.A. (“Chase”), as Administrative Agent, and the lenders party thereto. The Amendment amends the Credit Agreement to, among other things, reduce the required interest coverage ratio thresholds, extend the deadline to draw the remaining $50.0 million of the $150.0 million term loan facility under the Credit Agreement from December 2020 to May 2021, extend the deadline to meet the minimum required number of unencumbered pool properties from November 15, 2020 to December 31, 2020 and increase the interest rate spread on outstanding loan amounts by 10 to 15 basis points, depending on the ratio of the Company’s leverage to total asset value.

Except as described above, there have been no material changes to the terms of the Credit Agreement as a result of the Amendment.
