ITEM 8.01.OTHER EVENTS. 

 

Due to continuing problems with Covid-19, globally and specifically in Spain, the Company continues to have delays in gathering the required information and documentation from its subsidiaries in Spain, Canada and the USA and is still unable to present its annual and quarterly financial reports to its auditors for audit and review respectively.

 

While the Company is making best efforts to put together the required information, recent changes in its operating subsidiary in Spain and the sudden leaving of its key people who were knowledgeable and responsible for the outstanding reporting periods, coupled with inadequate support staff and funding, are causing an unduly high restraint to expedite this process.
